Terms of Service

  1. Introduction to the Code

    1. This HTML template (the "Code") allows you to create and launch collections of digital assets on the Bitcoin blockchain ("Ordinals" or "Collection").
    2. By using this Code, you agree to be bound by these terms of service ("ToS").
    3. The ToS do not govern your relationship with your wallet software provider, which are governed by the terms and conditions of such provider.
  2. Description of the Code

    1. The Code allows you to create and launch your own Ordinals collection without the need of any intermediary and third parties to inscribe their assets of the Collection.

    2. The Code does not offer any other service.

      The Code does not have any power in relation to your collection. In particular but not limited to, the Code does not govern (i) the fees of your collection, (ii) the files(s) that you link to your collection, (iii) the price of your collection, (iv) the amount of items in your collection, (v) the rights that are linked to your collection (e.g. utility, security).

      The Code does not take part in any phase of the creation and/or offering of your collection.

      Through the Code we do not offer professional services but we simply share the Code as open source and subject to this ToS to any third party that intends to use it free of charge to create its own collection.

      As we are not providing the Code for purposes relating to our trade, business, craft or profession, we do not qualify as "traders" and/or "business" under consumer law and the use of the Code by you does not qualify as a "business to consumer service".

  3. Use of the Code

    1. In order to use the Code you must connect your wallet. We do not have access to or control of your wallet and/or cryptoassets that you own on your wallet. We do not offer custody services.
    2. We offer the Code, which is written in HTML language, and you can adjust the following variables:
      1. Name of the Collection;
      2. Description of the Collection;
      3. Quantity of digital assets in the Collection;
      4. Receiver address (if you decide to add a mint price);
      5. Mint price;
      6. Reference IPFS of the digital assets of the Collection.
      7. Format of the digital assets
    3. You can freely adjust the variables according to your needs or will. We simply provide the Code but have no power on the variables that you decide to change.
    4. You can freely inscribe the Code with the details and variables of your Collection. This operation automatically generates a page on your inscription in a fully decentralized manner. In order to visualize the assets on the IPFS you may need to install a browser extension, which is provided as open source).
    5. In order to connect to the inscription you can use any Ordinals Explorer (as a way of example, Ordinals.com)
    6. In order to mint the digital assets inscribed through the Code, you can use any wallet provider that has the specific function to inscribe (e.g. XVerse).
    7. The inscription of the Collection is made by you directly through the wallet provider and we do not collect any fee for such inscription or for the minting of the Collection.
  4. Donation

    1. We offer the possibility to donate an amount denominated in cryptoassets (e.g. Bitcoin), which you can simply donate by transferring the relevant amount to the provided address.
    2. The transfer of cryptoassets under par. 4.1 (the "Transfer") is a donation that you can make upon your will in order to support us and the mission behind the Code.
    3. The Transfer is not necessary to use the Code and does not represent a consideration for the use of the Code.
    4. The use of the Code is always free of charge and no consideration is requested.
  5. Network Fees
    While using the Code you may be requested to pay transaction fees to the appropriate network ("Network Fees"). You will be solely responsible to pay the Network Fees for any transaction that you initiate.

  6. Liability

    1. Our service is limited to the offer of the Code.
    2. We do not offer any type of service in relation to any Collection that you may offer through the Code. Therefore, we are not liable or responsible for any damage (of any type, including damages for loss and profit), violation of contracts and/or law and for any other activity that may arise and/or be directly or indirectly consequential to the use of the Code by you and/or to your offer of Collections through the Code.
    3. We expressly disclaim all liability or responsibility in connection with your offer of Collections through the Code. Nothing in the Code nor any use of our services in connection with Collection offering by third parties constitutes our endorsement, recommendation or any other affiliation of or with any such parties.
    4. Under no circumstance we are liable and/or responsible for marketing activities and/or any other communication related to your offering of collections through the Code.
  7. Prohibited activities

    1. You agree not to engage in, or attempt to engage in, any of the following categories of prohibited activity in relation to your access and use of the Code:
      1. securities (financial instruments and/or financial products) and derivatives violations -- any activity that violates any applicable law, rule, or regulation concerning the trading of financial instruments (including derivatives) or financial products;
      2. intellectual property infringements -- any activity that infringes on or violates any copyright, trademark, service mark, patent, right of publicity, right of privacy, or other proprietary or intellectual property rights under the law of any third party;
      3. fraud -- any activity that seeks to defraud us or any other person or entity, including (but not limited to) providing any false, inaccurate, or misleading information in order to unlawfully obtain the property of another (e.g. payments of cryptocurrencies);
      4. market manipulation -- any activity that violates any applicable law, rule, or regulation concerning the integrity of trading markets, including (but not limited to) manipulative tactics such as the so called "rug pulls", "pumping and dumping", and "wash trading";
      5. illegal and/or immoral content -- any activity which involves the publication of content that violates the applicable law or that solicits the violation of applicable law and/or content that is contrary to morality in such a way which may trigger a violation of applicable law. This includes any activity that involves soliciting information from anyone under the age of 18 or that is otherwise harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, pornographic, libelous, invasive of another's privacy, hateful, discriminatory, or otherwise objectionable;
      6. cyberattacks -- any activity that seeks to interfere with or compromise the integrity, security, or proper functioning of any computer, server, network, personal device, or other information technology system, including (but not limited to) the deployment of viruses and denial of service attacks;
      7. unlawful conduct -- any other activity that violates any applicable law, rule, or regulation of Italy or another relevant jurisdiction, including (but not limited to) the restrictions and regulatory requirements imposed by Italian law.
    2. Whereas you take part in one of the previous activities through the use of the Code, we do not hold any liability or responsibility in connection to it, as we merely provide the Code for the inscription. Nonetheless, we may report any fraudulent and/or illegal activity to the competent authorities.
  8. No investment
    We do merely provide the Code as open source in order to allow anyone to inscribe his/her Collection free of charge and in a fully decentralized manner. If you offer and promote your Collection as means of investment (e.g. financial instruments), we do not take any liability or responsibility in connection with it. We do not take part in any phase of the ideation, creation, inscription and/or offer to the public of users' Collections and we have no power to act in the way users decide to offer and promote their Collections. Nevertheless, we may do all what is in our power to report to the competent authorities and provide all the needed information.

  9. Non custodial services
    The inscription of the Collection is made solely by the users through non-custodial wallets and in a fully decentralized manner. We do not offer any custody services in relation to the Collection and/or the cryptoassets that you may hold on your non-custodial wallet.

  10. Assumption of risk and liability

    1. By utilizing the Code, you affirm that you possess the financial and technical expertise necessary to comprehend the inherent risks associated with utilizing cryptographic and blockchain-based systems. Additionally, you assert that you possess a functional understanding of the utilization and complexities of digital assets like Ordinals and/or cryptoassets (e.g. Bitcoin).
    2. You comprehend blockchain-based transactions become irreversible once confirmed. You accept the variable and potentially dramatic fluctuations in the cost and speed of transacting with cryptographic and blockchain-based systems like Bitcoin.
  11. Intellectual Property Rights

    1. Subject to the terms of this ToS and provided that you use the Code lawfully, we grant you a non-exclusive, non-transferable, universe-wide, royalty free licence to use the Code in order to inscribe the Collections as per article 4 of this ToS and for any related purpose whatsoever, including the commercialization (without limit), reproduction, distribution and preparation of the Collection and without prejudice to paragraph 12.2.
    2. The above licence is not granted for purposes which are unlawful or illegal in your relevant jurisdictions and/or which may cause unlawful damage to third parties. In addition, you may not use the Code (i) in a manner that expresses hate or prejudice or encourages violence towards a person or group based on membership in a protected class, such as race, religion, gender, orientation, or disability; or (ii) any manner which would bring us into disrepute.
    3. The licence is granted royalty-free, hence you are not subject to obligation to pay royalties to use for the use of the Code and no fee has to be paid to use for the further launch and/or exchange of the digital assets of your Collection. The amount under article 5 is a donation that you may decide to make but it is not compulsory and does not constitute a royalty.
    4. This licence grants you the rights to use the Code also for commercial purposes. Nonetheless, moral rights on the Code are not licenced and are held by us. Therefore, we keep the right to attribution (i.e. being credited as author of the Code) and integrity (i.e. right to object to any changes to their work that may harm our reputation as an author).
  12. No warranties

    1. The Code and any content within, is provided on an as is and as available basis, without any warranties or conditions, whether express or implied. We do not guarantee that the services: (i) will meet your requirements; (ii) will be available without interruptions, in a timely manner, securely, or free of errors; or (iii) will be accurate, reliable, complete, legal, or safe. We explicitly disclaim all other warranties or conditions, whether express or implied, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, quiet enjoyment, or non-infringement, to the maximum extent allowed by applicable law, concerning the services and any content therein
    2. We don't affirm or guarantee that the Code is accurate, complete, reliable, current, or error-free. We won't be held liable for any kind of loss resulting from actions taken or reliance on material or information found in the Code. We cannot guarantee that the Code is free of viruses or other harmful components. The security of any data you disclose online cannot be assured. By providing information and engaging in online activities over the internet, you acknowledge and accept the inherent security risks and agree not to hold us responsible for any security breaches.
    3. We won't hold responsibility or liability for any loss, and we're not liable to you for any use of the Code, encompassing but not limited to losses, damages, or claims arising from: (i) user errors such as forgotten passwords, incorrectly constructed transactions, or mistyped wallet addresses; (ii) server failure or data loss; (iii) issues with blockchain networks, cryptocurrency wallets, or corrupt files; (iv) unauthorized access to services; or (v) any activities by third parties, including but not limited to the use of viruses, phishing, bruteforcing, or other means of attack.
  13. Modification
    Notwithstanding anything contained in these ToS, we may suspend, modify or terminate your access to and use of the Code (included the licence under article 11 above) and the language of these ToS at our sole discretion, at any time and without notice to you.

  14. Governing Law and Jurisdiction

    1. This ToS is subject to the laws of the Republic of Italy.
    2. Any dispute in relation to this ToS is subject to the jurisdiction of the Court of Milan (Italy).
